Platform Terms
Effective May 29, 2026
These Platform Terms apply to every agency workspace on Livy, including free, pilot, preview, evaluation, and other unpaid use.
When Livy and an agency sign an order form, the Master Services Agreement and any negotiated addenda apply in addition to these Terms and control to the extent of any conflict.
Authority to use an agency workspace
If you create, administer, or invite users to an agency workspace, you represent that you have authority to do so for the agency, or that you are using Livy only for personal evaluation and not for official agency business.
If you do not have authority to act for the agency, you may not create an official agency workspace, invite users on behalf of the agency, publish agency materials, or upload official agency records.
Free and preview services
Livy grants the agency a limited, nonexclusive, nontransferable right to use the service during the term of these Terms for evaluation, pilot use, and any public-facing workflows Livy makes available for the free plan.
The free service may include storage limits, rate limits, user limits, support limits, preview features, and other restrictions. Livy may change, suspend, or discontinue free or preview services at any time.
Specific features and their behavior may evolve. Current behavior is described in the product and in Livy's documentation.
Authorized users
Authorized users may include agency employees, officials, body members, board members, commissioners, reviewers, contractors, counsel, advisors, and other people the agency authorizes to use the workspace.
The agency is responsible for account administration, workspace permissions, user activity, and its users' compliance with these Terms.
Agency responsibilities
The agency is responsible for its own legal and policy decisions, including meeting notices and agendas, public-participation procedures, recognition and time limits, translation and accessibility accommodations, publication decisions, public-records responses, records retention, approval workflows, and legal review of agency materials.
Livy is designed to support these workflows. Livy does not act as the agency's clerk, attorney, records officer, accessibility consultant, financial advisor, or compliance decision-maker.
If Livy allows content to be marked internal, staff-only, private, confidential, privileged, or unpublished, that label is a workflow setting only. It is not a legal determination that the content is exempt from disclosure, privileged, confidential, or outside the public record.
Agency data and ownership
The agency retains all rights in Agency Data. Agency Data includes data submitted to, stored in, or generated through an agency workspace.
Livy owns the service, software, documentation, templates, prompts, product designs, analytics, and other technology used to provide Livy.
Livy may use Agency Data to provide, secure, support, troubleshoot, and improve the service. Livy may also use aggregated or deidentified usage data that does not identify the agency or disclose Agency Data.
Livy does not use Agency Data to train Livy's or a third party's general-purpose AI models.
Automated and AI-assisted features
Livy may offer automated and AI-assisted tools to help agency staff review, summarize, and organize content. These tools are assistive only. The agency must review their outputs before relying on them, publishing them, circulating them to a legislative body, or treating them as official records.
These tools do not provide legal, financial, accounting, procurement, accessibility, records-retention, or other compliance advice.
Acceptable use and security
The agency and its users may not misuse Livy, interfere with its operation, violate law, upload malware, bypass access controls, test security without authorization, or use Livy to build a competing product.
Until a paid agreement and any required data-processing terms are in place, the agency should not intentionally upload data that requires special contractual or technical commitments, such as regulated health data, payment-card data, criminal-justice data, or other high-risk regulated data.
Third-party services
Livy may connect with third-party services that the agency enables, including video, streaming, telephony, identity, storage, email, analytics, and AI services.
Third-party services are governed by their own terms and availability. Livy is not responsible for third-party outages, settings, moderation, data handling, or content, except to the extent an issue is directly caused by Livy's service.
Confidentiality
Livy will use reasonable care to protect nonpublic Agency Data. The agency will use reasonable care to protect Livy's nonpublic product, security, pricing, and business information.
This section does not replace a negotiated confidentiality agreement, data processing addendum, or paid master services agreement.
Security
Livy uses reasonable administrative, technical, and physical safeguards designed to protect Agency Data.
Unless Livy expressly agrees in a signed order form or security exhibit, Livy does not represent that the free service meets any specific certification, audit standard, or security framework.
Support and service levels
Free, preview, and other unpaid services are provided as-is. They do not include guaranteed response times, uptime commitments, service credits, or formal service levels unless Livy expressly agrees in writing.
Term and termination
These Terms begin when the agency first uses the service and continue until terminated. Either party may terminate for convenience at any time.
Livy may suspend or terminate access immediately to address security risks, unlawful activity, misuse, nonpayment for paid add-ons, or threats to the service.
After termination of an unpaid workspace, Livy may delete Agency Data after a reasonable period, subject to backups, legal requirements, security, audit, fraud prevention, and dispute-resolution needs.
Disclaimers
The free service, preview features, AI-assisted features, and their outputs are provided "as is" and "as available."
Livy disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage of trade.
Livy does not warrant that the free service will be uninterrupted, error-free, legally compliant for the agency's specific use, or suitable as the agency's official system of record.
Limitation of liability
To the fullest extent allowed by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages.
To the fullest extent allowed by law, Livy's total aggregate liability arising out of or relating to these Terms or the free service will not exceed the greater of $100 or the fees the agency paid Livy for the applicable service in the 12 months before the event giving rise to the claim.
Governing law
California law governs these Terms, without regard to conflict-of-law rules, unless a later written agreement says otherwise or applicable law requires otherwise. Disputes relating to these Terms may be brought in the state or federal courts located in California.
Changes to these Terms
Livy may update these Terms by posting an updated version. Material changes apply from the effective date stated with the updated Terms.
